These Terms and Conditions (“Terms”) govern your access to and use of the Supportpreneur website, content, communications, and services.
Supportpreneur is operated by Supportpreneur LLC, a Delaware limited liability company (“Supportpreneur,” “Company,” “we,” “us,” or “our”).
“You” and “your” refer to any visitor, prospective client, client, or other person accessing our website or interacting with our services.
By accessing or using this website, submitting information to us, booking a discovery call, or otherwise interacting with Supportpreneur, you agree to these Terms.
If you do not agree with these Terms, please do not use our website or services.
1. Our Services
Supportpreneur provides business operations consulting, process improvement, and related implementation services primarily for agencies and service-based businesses.
Our work may include:
- Operational diagnostics
- Workflow analysis and redesign
- Process improvement
- Client onboarding systems
- Delivery workflows
- Team handoffs
- Ownership and accountability structures
- Standard operating procedures
- Documentation
- Project-management systems
- Automation opportunities
- Operational implementation
- Training and handoff
Specific services, deliverables, timelines, responsibilities, fees, and payment terms for paid engagements may be governed by a separate proposal, statement of work, service agreement, order form, or other written agreement.
If there is a conflict between these Terms and a separately executed written agreement relating to a paid engagement, the executed agreement will control with respect to that engagement.
2. No Guarantee of Results
Supportpreneur does not guarantee any particular business, financial, operational, revenue, profitability, productivity, employee-performance, client-retention, growth, or other outcome.
Operational improvements depend on numerous factors outside our control, including client implementation, leadership decisions, employee participation, internal communication, technology, market conditions, customer behavior, existing business conditions, and adoption of recommended processes.
Any examples, illustrations, testimonials, case studies, projections, or descriptions of possible outcomes are provided for informational purposes only.
Past performance and the results achieved by another business do not guarantee future results.
Your results may vary.
3. You Remain Responsible for Your Business
You retain full responsibility and decision-making authority over your business.
Supportpreneur may provide analysis, observations, recommendations, workflows, documentation, systems, implementation assistance, or operational guidance. You remain responsible for determining whether and how those recommendations should be used.
You are responsible for:
- Providing accurate and complete information
- Providing timely access to relevant systems, information, and personnel
- Reviewing recommendations and deliverables
- Approving material business decisions
- Ensuring employees and contractors follow applicable processes
- Maintaining appropriate backups
- Maintaining appropriate security and access controls
- Monitoring implemented systems
- Ensuring compliance with laws and regulations applicable to your business
- Obtaining specialized professional advice where appropriate
Supportpreneur is not responsible for losses or delays resulting from inaccurate, incomplete, outdated, delayed, or withheld information provided by you, your employees, contractors, representatives, or systems.
4. Scope of Services
Supportpreneur is responsible only for services expressly included in the agreed scope of a paid engagement.
An engagement does not include unlimited consulting, implementation, revisions, workflows, meetings, support, or other work.
Requests outside the agreed scope may require:
- Additional fees
- Additional time
- A revised scope
- A separate project or engagement
Informal discussions, suggestions, emails, messages, calls, or observations do not automatically modify the agreed scope.
Changes to the scope should be agreed to in writing.
5. Timelines and Client Delays
Project timelines depend on reasonable and timely cooperation from the client.
If you delay providing information, access, approvals, feedback, personnel availability, decisions, or other items reasonably necessary to perform the services, project deadlines may be extended.
Supportpreneur is not responsible for delays caused by:
- The client
- The client’s employees or contractors
- Third-party providers
- Software or platform outages
- Technical failures outside our reasonable control
- Events of force majeure
- Other circumstances reasonably outside our control
A delay caused by the client does not automatically entitle the client to a refund, extension of Supportpreneur’s reserved capacity, or additional work without charge.
Specific project timing, delay, pause, and abandonment provisions may be established in the applicable service agreement.
6. Discovery Calls
Discovery calls are intended to determine whether Supportpreneur and a prospective client may be a suitable fit.
Booking, attending, or participating in a discovery call:
- Does not create a client relationship
- Does not obligate either party to proceed
- Does not guarantee availability
- Does not guarantee acceptance as a client
- Does not constitute legal, accounting, tax, financial, employment, or other regulated professional advice
Supportpreneur may decline a prospective engagement at its discretion, subject to applicable law.
7. Fees and Payments
Fees for paid services will be stated in the applicable proposal, invoice, statement of work, order form, or service agreement.
Payments must be made according to the payment schedule applicable to the engagement.
Failure to make a required payment may result in, to the extent permitted by the applicable agreement and law:
- Suspension of work
- Delayed deliverables
- Suspension of access or support
- Termination of the engagement
- Withholding of final deliverables
The client remains responsible for amounts properly due under the applicable agreement.
8. Refunds
Because Supportpreneur provides professional services involving reserved capacity, analysis, consulting, implementation, and customized work, fees are generally non-refundable once the applicable work has begun, except where otherwise required by law or expressly agreed in writing.
A client’s dissatisfaction with a business outcome does not, by itself, create a right to a refund where the agreed services have been properly performed.
Any specific cancellation, milestone, refund, or termination provisions contained in an executed client agreement will control.
9. Meetings, Cancellations, and Rescheduling
Clients and prospective clients should provide reasonable notice when rescheduling meetings.
Repeated missed meetings, delayed responses, lack of participation, or extended periods of inactivity may affect project timelines and our ability to perform the services.
Specific rules regarding missed meetings, project pauses, abandonment, rescheduling, or termination may be established in the applicable service agreement.
10. Third-Party Platforms and Software
Supportpreneur may recommend, configure, integrate, or work with third-party tools and services.
These may include:
- Project-management platforms
- Automation tools
- Artificial-intelligence services
- Communication platforms
- Scheduling software
- CRM systems
- Analytics platforms
- Cloud services
- Payment processors
- Other business technologies
Supportpreneur does not own or control third-party providers and cannot guarantee their availability, security, accuracy, pricing, features, compatibility, policies, performance, or continued operation.
Third-party providers may change, restrict, suspend, or discontinue their products or services at any time.
To the fullest extent permitted by applicable law, Supportpreneur is not responsible for outages, errors, data loss, account restrictions, security incidents, pricing changes, API changes, feature changes, policy changes, or other failures caused by third-party providers.
Your use of third-party products and services is subject to their respective terms and policies.
11. Automation and Artificial Intelligence
Supportpreneur may recommend or implement automation or artificial-intelligence tools as part of an operational system.
Automated and AI-based systems may produce incorrect, incomplete, inconsistent, or unexpected outputs and may experience interruptions or failures.
Supportpreneur does not guarantee the accuracy, reliability, availability, or suitability of AI-generated or automated outputs.
Human review and oversight may remain necessary.
The client is responsible for determining the appropriate level of human oversight and for reviewing material outputs before relying upon them where appropriate.
12. No Regulated Professional Advice
Supportpreneur provides business operations consulting and related services.
Unless expressly agreed otherwise through an appropriately qualified professional, nothing provided by Supportpreneur constitutes:
- Legal advice
- Tax advice
- Accounting advice
- Investment or financial advice
- Employment-law advice
- Cybersecurity advice
- Medical advice
- Other regulated professional advice
You should consult an appropriately qualified professional when specialized advice is required.
13. Intellectual Property
Unless otherwise stated or agreed in writing, the Supportpreneur website and Supportpreneur’s original branding, frameworks, methodologies, graphics, text, educational materials, templates, processes, and other proprietary materials are owned by or licensed to Supportpreneur LLC and are protected by applicable intellectual-property laws.
You may not, without authorization:
- Reproduce proprietary materials
- Resell them
- Redistribute them
- Publish them as your own
- Remove ownership notices
- Use Supportpreneur branding without permission
- Commercialize Supportpreneur proprietary materials
- Create competing products substantially derived from protected proprietary materials
Specific ownership and usage rights for deliverables created during paid client engagements may be governed by the applicable service agreement.
14. Client Materials
You retain ownership of materials and information you provide to Supportpreneur, subject to the rights reasonably necessary for us to perform the services.
By providing materials to us, you represent that you have the authority to provide those materials and authorize their use for purposes related to the engagement.
You are responsible for ensuring that materials you provide do not unlawfully violate another person’s rights.
15. Confidentiality
Operational consulting may require access to confidential or commercially sensitive information.
Supportpreneur will use reasonable care when handling confidential information provided in connection with an engagement and will use such information for legitimate purposes related to providing the services or operating the business.
Clients are likewise expected to protect Supportpreneur’s confidential and proprietary information.
More detailed confidentiality obligations may be contained in an applicable service agreement or nondisclosure agreement.
16. Access to Client Systems
Where you provide Supportpreneur access to software, accounts, files, systems, dashboards, or other business resources, such access will be used for purposes reasonably related to the agreed engagement.
Clients should provide the minimum appropriate level of access and maintain reasonable security practices.
The client remains responsible for:
- Account ownership
- User permissions
- Password management
- Backups
- Data retention
- Cybersecurity
- Revoking access when appropriate
Unless expressly agreed otherwise in writing, Supportpreneur is not acting as the client’s cybersecurity provider, managed IT provider, data-protection officer, or system administrator.
17. Implementation Risk
Changes to business operations may affect workflows, employee responsibilities, project-management systems, communications, automations, integrations, and client delivery.
No operational or technological change is entirely risk-free.
Clients should maintain appropriate backups and review material changes before deployment where appropriate.
Supportpreneur is not responsible for consequences resulting from changes made by the client, its employees, contractors, or other third parties after Supportpreneur’s delivery or implementation.
18. Website Content
We make reasonable efforts to provide useful and accurate information on the Supportpreneur website.
However, website and educational content is provided for general informational purposes and may not always reflect the latest technology, services, availability, laws, or business practices.
Nothing published on the website constitutes a promise that a particular strategy, service, technology, or result is appropriate for every business.
19. Testimonials and Case Studies
Any testimonials, case studies, examples, or client stories published by Supportpreneur represent individual experiences or circumstances.
They do not guarantee that another client will achieve identical or similar results.
Outcomes vary based on numerous factors outside Supportpreneur’s control.
20. Prohibited Use
You may not use the website or our services to:
- Violate applicable law
- Infringe intellectual-property rights
- Attempt unauthorized access to systems or accounts
- Introduce malicious software or code
- Interfere with website operation
- Harvest information unlawfully
- Impersonate another person or organization
- Engage in fraud or deceptive conduct
- Misuse Supportpreneur’s intellectual property
- Use Supportpreneur’s services for unlawful or abusive activity
We may restrict or terminate access where we reasonably believe these Terms have been materially violated.
21. Disclaimer of Warranties
To the fullest extent permitted by applicable law, the website and general website content are provided on an “as is” and “as available” basis.
Supportpreneur LLC makes no warranty that the website will always be available, uninterrupted, secure, error-free, or free from harmful components.
Any warranties or specific commitments relating to paid services will be governed by the applicable written client agreement.
22. Limitation of Liability
To the fullest extent permitted by applicable law, Supportpreneur LLC and its owners, officers, employees, contractors, and representatives will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or relating to the website or services, including loss of profits, revenue, business opportunities, clients, goodwill, anticipated savings, or data.
For claims arising from a paid engagement, and to the fullest extent permitted by applicable law, the aggregate liability of Supportpreneur LLC arising out of or relating to that engagement will not exceed the total fees actually paid to Supportpreneur LLC by the client for the specific engagement giving rise to the claim.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
23. Indemnification
To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Supportpreneur LLC and its owners, officers, employees, contractors, and representatives from third-party claims, liabilities, damages, losses, costs, and reasonable expenses arising out of or relating to:
- Your unlawful use of the website or services
- Materials or information you provide
- Your infringement of another person’s rights
- Your violation of applicable law
- Your material breach of these Terms
This provision does not require indemnification to the extent prohibited by applicable law.
24. Right to Refuse or Terminate Services
Subject to applicable law and any executed agreement, Supportpreneur may decline, suspend, or terminate an engagement where circumstances include:
- Non-payment
- Repeated failure to cooperate
- Materially inaccurate or withheld information
- Abusive, threatening, discriminatory, or harassing conduct
- Requests for unlawful or unethical activity
- Material breach of an agreement
- A serious breakdown in the working relationship that makes continued performance impracticable
Financial obligations and rights upon termination will be governed by the applicable client agreement.
25. Independent Contractor Relationship
Supportpreneur LLC provides its services as an independent contractor unless expressly agreed otherwise in writing.
Nothing in these Terms creates an employment relationship, partnership, joint venture, fiduciary relationship, or agency relationship between Supportpreneur LLC and any client.
Providing operational consulting does not make Supportpreneur responsible for supervising, employing, or managing the client’s personnel unless expressly included in a written agreement.
26. Force Majeure
Supportpreneur will not be responsible for delays or failures in performance caused by circumstances reasonably beyond our control.
These may include natural disasters, internet or telecommunications failures, widespread software or platform outages, power failures, government actions, civil disturbances, war, labor disruptions, serious illness or emergency, or similar circumstances.
27. Changes to These Terms
We may update these Terms from time to time to reflect changes to our business, services, technologies, or legal obligations.
When changes are made, the updated version will be posted on this website with a revised “Last Updated” date.
Updates to these website Terms will not retroactively modify a separately executed client agreement unless permitted by that agreement, agreed by the parties, or required by applicable law.
28. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in effect.
29. Entire Agreement for Website Use
These Terms, together with our Privacy Policy and any policies expressly incorporated by reference, constitute the agreement governing general use of the Supportpreneur website.
Paid engagements may be governed by separate agreements containing additional or different terms.
30. Governing Law and Disputes
These Terms and any dispute arising out of or relating to these Terms, the Supportpreneur website, or your use of the website will be governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles.
To the extent permitted by applicable law, any legal action or proceeding arising out of or relating to these Terms or use of the website will be brought in a court of competent jurisdiction in the State of Delaware, and you consent to the jurisdiction of such courts.
Before initiating formal legal proceedings, the parties agree to make a good-faith effort to resolve the dispute informally through written notice and reasonable discussion.
Nothing in these Terms limits rights or remedies that cannot lawfully be waived.
Specific dispute-resolution provisions relating to a paid client engagement may be established in the applicable executed service agreement.
31. No Waiver
Failure by Supportpreneur LLC to enforce any provision of these Terms does not constitute a waiver of that provision or of the right to enforce it later.
32. Electronic Communications
By communicating with Supportpreneur electronically, you consent to receiving communications from us electronically where permitted by law.
Electronic communications, notices, agreements, and records may satisfy legal requirements that communications be in writing to the extent permitted by applicable law.
